1. Agreement and provider

These Terms form a binding agreement between the person or organization using Sinalio (the Customer) and ZOFITI SOLUCOES LTDA, CNPJ 61.548.431/0001-81 (Zofiti). Zofiti provides Sinalio from its fiscal address at Rua Bahia, 5800, apartment 304, block S, Salto Weissbach, Blumenau, Santa Catarina, Brazil, ZIP 89032-001. This address does not provide public customer service.

By creating an account, activating a workspace or using the service, the Customer accepts these Terms, the Privacy Policy and, when Zofiti processes Customer Personal Data, the Data Processing Addendum. A person accepting on behalf of an organization confirms that they have authority to bind it.

2. Eligibility and account

The service is intended for people who are at least 18 years old and capable of entering into a contract. Access uses Google or Microsoft identity providers. Zofiti does not receive the provider password. The Customer is responsible for protecting its identity-provider account, maintaining accurate account information and notifying Zofiti of suspected unauthorized access.

An authenticated identity does not automatically grant access to a workspace. Workspace membership and permissions are verified separately. Accounts may remain free without a card or an activated workspace.

3. Workspaces and service scope

A workspace represents an independent Customer product boundary. Each activated workspace has its own subscription, billing cycle, limits, content, environments and access status. Events affecting one workspace do not automatically affect another workspace in the same account.

Sinalio provides tools for in-app announcements, contextual feedback and related review workflows described on the public site or in the applicable plan. Features, limits and availability may evolve. Material reductions to an active paid plan will be communicated in advance when reasonably possible.

4. Subscription, payment and taxes

A paid subscription begins only when the Customer activates a workspace through the checkout presented for that market. The checkout shows the price, currency, billing period, taxes when applicable and renewal terms before confirmation. Payment credentials are handled by Stripe in its hosted checkout; Sinalio does not receive full card details.

Subscriptions renew automatically for the displayed billing period until cancelled. The Customer authorizes recurring charges and is responsible for applicable taxes, valid payment information and any currency conversion charged by its financial institution. If payment fails, Zofiti may offer a grace period, restrict the affected workspace or suspend it after notice.

The Customer may schedule cancellation before the next renewal. Access ordinarily continues until the end of the paid period. Mandatory withdrawal, refund and consumer rights remain available when applicable; these Terms do not waive rights that cannot legally be waived.

5. Customer Content and instructions

Customer Content includes announcements, feedback, optional external user references and contextual data submitted through the Customer's implementation. The Customer retains its rights in Customer Content and grants Zofiti a limited, worldwide, non-exclusive license to host, copy, transmit and otherwise process it only to provide, secure, support and comply with the service and documented instructions.

The Customer has primary responsibility for the legality, accuracy, quality, maintenance and administration of Customer Content, its collection notices, lawful bases, workspace members, permissions and configuration. Zofiti is responsible for operating and protecting the Sinalio infrastructure and service components under its control as described in these Terms and the DPA; it does not become responsible for the Customer's product, business records or decisions merely because Customer Content is stored in Sinalio.

Zofiti does not use Customer Content to train a general-purpose artificial intelligence model unless a separate, explicit agreement is made.

6. Acceptable use

The Customer must not use Sinalio to violate law or third-party rights; probe, disrupt or bypass security or usage limits; distribute malware or unsolicited communications; misrepresent identity; scrape the service; resell access without authorization; or submit data it has no right to process. The Customer must not intentionally use the service for children's data, highly sensitive data, regulated health records, payment-card data or government identifiers unless Zofiti has expressly agreed in writing to that use.

Zofiti may investigate abuse and take proportionate action, including removing unlawful content, rate limiting or suspending access. When lawful and safe, Zofiti will notify the Customer and allow a reasonable opportunity to remedy the issue.

7. Third-party services

Identity providers, hosted checkout and integrations may be governed by their own terms. The Customer chooses whether to connect an integration and authorizes the related exchange of data. Zofiti is responsible for its own service and its selected processors, but not for a third-party product outside Zofiti's control.

8. Availability, support and changes

Zofiti uses reasonable technical and organizational measures to operate the service, but does not promise uninterrupted or error-free availability. Planned maintenance, emergencies, internet failures and third-party infrastructure may affect access.

Email to joao.muller@zofiti.com.br is the official channel for support and contractual communications. For a standard request, Zofiti may take up to seven calendar days to provide an initial response, counted from the Customer's latest message received on that request. A new message may restart that response period so the request can be considered as a whole. The initial response may ask for information or explain next steps and is not a promise that the matter will be resolved within seven days. Mandatory legal deadlines, confirmed security incidents and any expressly agreed service level take precedence.

Zofiti may change the service to improve security, comply with law or evolve the product. If a change materially and adversely affects an active paid subscription, the Customer may cancel the affected workspace before the next renewal.

9. Suspension, termination and data

Either party may terminate for a material breach not cured within a reasonable notice period, or immediately when continued service would create a security or legal risk. Zofiti may also discontinue the service with reasonable prior notice and a proportional refund for prepaid unused time when required.

After a workspace ends, Customer Content remains available for recovery or export for up to 30 days, unless the Customer requests earlier deletion or law requires preservation. After that period, active copies are deleted or anonymized and encrypted backups expire within the backup cycle described in the Privacy Policy and DPA. The Customer should export required content before the recovery period ends.

10. Intellectual property and feedback

Zofiti and its licensors own Sinalio, its software, visual identity, documentation and all related intellectual property. These Terms grant only a limited, revocable, non-transferable right to use the service during the agreement.

If the Customer sends ideas or product suggestions to Zofiti, Zofiti may use them without restriction or payment, provided that doing so does not disclose Customer Confidential Information or identify an end user.

11. Confidentiality

Each party will protect non-public business, product, security and technical information received from the other with at least reasonable care and use it only for the agreement. Confidentiality does not cover information independently developed, lawfully received without restriction, already public through no breach, or required to be disclosed by law. Where legally permitted, the receiving party will provide advance notice of a compelled disclosure.

12. Warranties and disclaimers

Each party warrants it has authority to enter this agreement. Zofiti warrants that it will provide the service with reasonable professional care. Except for express promises and mandatory legal protections, the service is provided as available and Zofiti disclaims implied warranties to the maximum extent permitted by law, including fitness for a particular purpose and results based on Customer decisions.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, lost profits or lost business arising from the service. Each party's aggregate contractual liability is limited to the amount paid or payable for the affected workspace during the 12 months before the event giving rise to the claim.

The exclusions and cap do not apply where prohibited by law, or to fraud, wilful misconduct, breach of confidentiality, infringement of the other party's intellectual property, payment obligations or liability that cannot legally be limited. Consumer protections and data-protection remedies remain unaffected when applicable.

14. Customer responsibility for claims

The Customer will defend and indemnify Zofiti against third-party claims arising from unlawful Customer Content, the Customer's product, violation of these Terms or lack of a lawful basis or required notice, to the extent caused by the Customer. Zofiti will promptly notify the Customer and allow reasonable control of the defense, while preserving the right to participate.

15. Governing law and disputes

Brazilian law governs this agreement. Before filing a claim, the parties will attempt in good faith to resolve it through the public contact channel. Subject to mandatory jurisdiction and consumer protections, disputes will be submitted to the courts of Blumenau, Santa Catarina, Brazil. This choice does not remove any right to bring a claim in another forum when applicable law requires it.

16. Updates and contact

Zofiti may update these Terms for legal, security or product reasons. Material changes will be announced through the service or account contact before taking effect when required. Continued use after the effective date constitutes acceptance, without limiting cancellation rights or mandatory protections.

Questions about these Terms may be sent to joao.muller@zofiti.com.br.
